TERMS OF SERVICE:

The Family named in the Contact Details agrees to purchase enrollments for its child, as parent/legal guardian of said minor child or adult-aged student named above (hereafter “Student”) in certain Providence Country Day-Global Campus dual diploma courses, which program includes:

• High quality online high school courses ( 6 credits)
• Synchronous instruction
• Teacher support - emails and zoom live lessons
• A PCD Global Campus official transcript
• U.S. high school PCD Diploma for successful completion the program
• Voluntary participation in the US University Pathways Program
• College counselling is included at no cost and assistance for acceptance into the Pathway universities.

(hereinafter individually or collectively, the “HGS Program”) as offered by Hudson Global Scholars LLC (“HGS”), 7151 Columbia Gateway, Suite C, Columbia, MD 21016 USA to the Student enrolled in the Bahcesehir Koleji Schools (hereinafter “Bahcesehir Koleji”), pursuant to HGS’s agreement with BAHCESEHIR KOLEJI Group (“BAHCESEHIR KOLEJI”), operator of schools in the Republic of Turkey.

Family acknowledges that as between Family and HGS, the HGS Program, including all materials, curriculum, and services will be delivered subject to the pricing (the “Fee”) for the program as provided in the registration materials, and the additional terms and conditions of this Agreement as stated below (“Terms”). To the extent that such agreement expires or is terminated, Family shall continue to receive the Courses/HGS Program in which Student is enrolled and paid-up and may continue to enroll in courses through to graduation. Family understands that these courses are transportable (online learning) should the Student no longer be enrolled in Bahcesehir Koleji schools, in which case the Family should contact HGS for alternative solutions. Family agrees to comply with such terms and conditions for participation in the HGS Program as may be required by Bahcesehir Koleji or its Bahcesehir Koleji School, and by the terms in this Agreement including making full and prompt payment by credit card herein and subsequently upon by credit card for remaining portions, if any, of the Fee (USD).

No program services will be provided until payments for the Courses, for the full school year, in accordance with the amounts provided to Family is received in full. The Fee does not include any applicable Turkey taxes or course extension fees (for completion beyond the specified course finish date), which is the responsibility of Family.

ADDITIONAL TERMS:

1. Student Enrollments. The Family is required to use an online portal to complete student enrollments in the Courses including all required information or such other enrollment means as may be substituted by HGS with notice. Students must meet all Course requirements to be enrolled and must comply with all student guidelines and policies applicable to the HGS Program, including the Courses.

2. Intellectual Property. “HGS Intellectual Property” means all copyrights, service marks, trademarks, ownership, licenses, or other intellectual property rights, registered or unregistered, worldwide, that HGS owns or holds for the HGS Program, including all teaching and student materials and other components (whether in electronic or paper or other form). Family shall not make any copies, reproductions, or derivative works of the HGS Program, including but not limited to the Providence Country Day School-Global Campus Courses, or develop any academic courses or materials based on or that use any part of the same.

3. Confidential Information. “HGS Confidential Information” means any data, information or knowledge concerning the operations or business of HGS that is not publicly available, including the HGS Program (which includes but it not limited to the Provide Country Day School-Global Campus Courses, and Family will not disclose, provide to or otherwise make available to any third party any HGS Confidential Information.

4. Photo/Video/Testimonial Release. Family grants HGS an absolute and irrevocable right to use the name, image, appearance, voice of, and any testimonials provided by, Family, teachers or Students in photos, videos, digital images, recordings or similar formats made by or for HGS for publications, marketing, social media posts, news releases, websites and in other promotional or educational materials. HGS will have complete and exclusive ownership and copyright of all such materials.

5. Liability. In no event shall either party be liable to the other party for any special, indirect, incidental or consequential damages, lost profits, loss of data or data privacy breaches, interruption of business, whether by claims under contract, tort (including negligence), statutory other legal or equitable principles, regardless of whether the other party knew or should have known of the possibility of such damages. HGS’s total liability to Family or any third party under this Agreement shall not, in the aggregate, exceed the total amount paid to HGS by FAMILY in the six (6) months prior to the date on which the event giving rise to any liability occurred.

6. Warranties. HGS makes no warranties or representations concerning the HGS Program or any results to be achieved through the use of the HGS program, and specifically gives no assurance or warranty that HGS Program shall satisfy any educational requirements of the Republic of Turkey, Family or its student(s) and in addition to the foregoing disclaimer of warranty/representation, disclaims any and all implied warranties of non-infringement and title, and all warranties arising from a course of dealing.

7. Governing Law and Jurisdiction. This Agreement and any action or dispute arising from it will be governed by and enforced pursuant to the laws of the State of Maryland, USA without giving effect to any conflicts of laws principles. Any dispute under this Agreement must be brought in the state and federal courts in the State of Maryland (USA), and Family consents to the personal jurisdiction and exclusive venue of these courts; provided, however at HGS’s sole discretion, any dispute may be submitted to arbitration at a site and method of its choosing, with each party bearing its own expenses.

8. Force Majeure. HGS will not be liable to Family for any breach of its obligations with respect to the HGS Program arising from causes beyond its reasonable control, including, but not limited to, natural disasters such as fires, floods earthquakes, other Acts of God, terrorism, strikes, illness or death of HGS teachers and employees, government mandates or requirements, or pandemics.

9. Assignment. HGS may assign or transfer all or any part of this Agreement at its sole discretion with notice to Family.

10. Currency and Language. The currency used for transactions hereunder shall be United States dollars. This Agreement may be translated into other languages; however, the English language version shall control.

11. No refunds are given once payment has been made.

12. Entire Agreement. These Terms, together with any HGS Program specific terms, constitute the entire agreement between Family and HGS and supersede any prior agreement or arrangement, whether written or oral.

13. Data Privacy. HGS may collect, store and use data in connection with the enrollment process and delivery of HGS Program, including personal data of students, in accordance with the Hudson Global Scholars Privacy Policy, available at https://hudsonglobalscholars.com/pdf/HGS-privacy-policy.pdf.

By agreeing below, I hereby certify that I am the parent/legal guardian of my child, the Student named herein, and consent to this binding Agreement according to its terms.
